1. Acceptance of Terms

By accessing or using getcodon.ai (the “Platform”), owned and operated by MindSci.ai Private Limited (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions. If you are using the Platform on behalf of an entity, you represent that you have the authority to bind such entity to these terms.

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

2. Description of Service

The Platform provides advertising automation, creative management, and performance analytics tools. Key features include:

• Integration with Google Ads API and Meta Marketing API.
• Automated creative updates for e-commerce catalogs.
• AI-driven marketing insights and general recommendations.
• Dashboard reporting for cross-platform marketing metrics.
• Automated Scheduling: Tools allowing you to schedule ad creative updates and campaign changes.
• Conditional Logic (Rules): The ability for you to set specific conditions (e.g., “If ROAS is less than X then Pause Ad”) that trigger automated strategy changes.

3. API Authorization & Agency

By connecting your Google Ads, Meta Business, or Shopify accounts to the Platform, you grant MindSci.ai Private Limited a non-exclusive, worldwide, royalty-free license to:

• Access and Retrieve: Download campaign performance data, creative assets, and product catalogs.
• Modify and Execute: Create, edit, pause, or delete advertisements and update catalog supplementary feeds on your behalf via official APIs.
• Act as Technical Agent: You acknowledge that the Platform acts as your technical agent for the sole purpose of managing your advertising activities as configured by you.

• Self-Serve Model: MindSci.ai Private Limited does not provide managed services. We do not manually manage your ads or make human-led strategic decisions on your behalf.
• User Responsibility: You are solely responsible for the configuration of all rules, schedules, and conditions. Any changes to your marketing strategy resulting from these automated tools are your sole responsibility.

4. Ad Spend Responsibility (Third-Party Fees)

Important Disclosure: Your subscription to getcodon.ai covers the software usage fee only.

• You remain solely responsible for all advertising costs, taxes, and fees billed directly by Google LLC or Meta Platforms, Inc.
• We are not responsible for any overspending, billing disputes, or payment failures between you and the advertising platforms.

5. Compliance with Platform Policies

You represent and warrant that all content, ad creatives, and products comply with:

• Meta Advertising Standards
• Google Ads Policies
• Local Laws: Including the Consumer Protection (E-Commerce) Rules, 2020 (India).

The Company reserves the right to suspend your access if your account or content leads to API policy violations that threaten our Platform's standing with Google or Meta.

6. AI Recommendations & Disclaimer

Our Platform uses AI/ML models to provide “General Recommendations.”

• Informational Purpose: These insights are for informational purposes only. We do not guarantee specific results, including but not limited to, Return on Ad Spend (ROAS), click-through rates, or sales volume.
• User Discretion: You are responsible for reviewing and approving any AI-generated creative or budget recommendation before implementation.

7. Intellectual Property

• Platform IP: All software, algorithms, AI models, and dashboard interfaces are the exclusive property of MindSci.ai Private Limited.
• User IP: You retain ownership of your brand assets, logos, and proprietary product data. By using the Platform, you grant us a limited license to use these assets only as required to provide the service.

8. Limitation of Liability

To the maximum extent permitted by law, MindSci.ai Private Limited shall not be liable for:

• Account suspensions or “bans” by Google or Meta.
• Indirect, incidental, or consequential damages arising from campaign performance.
• Any loss of data or business interruption caused by third-party API outages.
• Losses or damages arising from your use of automated scheduling, conditional rules, or automated strategy changes configured by you.

9. Subscription, Termination & Refunds

• Notice Period: Either party may terminate the service with 30 days' written notice.
• Refunds: Monthly subscriptions are generally non-refundable. Quarterly/Annual plans may be eligible for pro-rata refunds at the Company's discretion.
• Effect of Termination: Upon termination, your API tokens will be deleted, and the Platform will cease all automated ad updates.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Mohali, Punjab, India, and shall be settled through arbitration under the Arbitration and Conciliation Act, 1996.
