1. Acceptance of Terms

By accessing or using getcodon.ai and the Codon application (the “Platform”), owned and operated by MindSci.ai Private Limited (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions. If you use the Platform on behalf of an entity, you represent that you have authority to bind that entity.

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, incorporated into these Terms by reference.

2. Description of Service

Codon is an AI-powered consumer research platform. Key features include:

• AI Twin simulations: concept, price, message, comparison, and open research testing against a panel of AI Twins.
• Personas: browsing and 1:1 chat with individual AI Twins for qualitative exploration.
• Brand Brain: persistent brand memory that learns from your past experiments over time.
• Market Mood: daily market-context signals (trends, sentiment) informing simulation realism.
• Canvas & Output Feeds: creative design tools and bulk ad-asset generation, with optional publishing to connected ad accounts.
• Integrations: Shopify, Magento, WooCommerce, Zoho CRM, HubSpot, Meta Ads, and Google Ads, used to bring your own catalog, CRM, or performance data into your research.

3. Integration Authorization & Data Access

By connecting a third-party platform to Codon, you grant MindSci.ai Private Limited a non-exclusive, worldwide, royalty-free license to:

• Access and retrieve catalog, CRM, or campaign performance data through that platform's official API, for the purpose of building your research context and, where applicable, AI Twin profiles from your own customer or contact records.
• Publish, where you use Output Feeds, AI-generated creative assets you have reviewed and approved back to your connected ad account.

Self-serve model: MindSci.ai Private Limited does not provide managed ad-buying services and does not make strategic advertising decisions on your behalf. User responsibility: you are solely responsible for reviewing any AI-generated creative or research output before it is published or acted upon.

4. AI & Simulation Disclaimer

• Simulation results, AI-generated insights, and AI-generated creative are provided for informational and research purposes only.
• We do not guarantee that real-world outcomes (sales, conversion, ROAS, or market reception) will match simulated results.
• You are responsible for exercising independent judgment before making business, marketing, or spend decisions based on Platform output.

5. Your Data & Our Research Panel

• You retain ownership of your brand assets, product data, and any customer/CRM data you connect. You grant us a limited license to use it solely to provide the service.
• The underlying AI Twin research panel, its methodology, and the simulation engine are the proprietary property of MindSci.ai Private Limited, independent of any individual client's account.
• Your simulation results and reports are yours to export and use as you see fit.

6. Compliance & Acceptable Use

You represent and warrant that your use of the Platform, including any published creative, complies with:

• The advertising standards and policies of any platform you connect (Meta, Google, Shopify, etc.)
• Applicable Indian law, including the Digital Personal Data Protection Act, 2023, and the Consumer Protection (E-Commerce) Rules, 2020
• Any applicable law in the market(s) you are researching or advertising into

You agree not to use the Platform for unlawful profiling or discriminatory targeting of individuals.

7. Subscription, Termination & Refunds

• Notice period: either party may terminate with 30 days' written notice.
• Refunds: monthly plans are generally non-refundable; annual plans may be eligible for pro-rata refunds at the Company's discretion.
• Effect of termination: upon termination, your connected-platform access tokens are deleted and the Platform ceases all integration syncing and publishing.

8. Intellectual Property

• Platform IP: all software, AI Twin methodology, simulation engine, and dashboard interfaces are the exclusive property of MindSci.ai Private Limited.
• Your IP: you retain ownership of your brand assets, logos, and proprietary product data.

9. Limitation of Liability

To the maximum extent permitted by law, MindSci.ai Private Limited shall not be liable for:

• Business decisions made based on simulated AI Twin responses or AI-generated insights.
• Account suspensions or restrictions imposed by Meta, Google, Shopify, or other connected platforms.
• Indirect, incidental, or consequential damages arising from research or campaign performance.
• Loss of data or business interruption caused by third-party API outages, including AI model providers.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Disputes arising out of these Terms are subject to the exclusive jurisdiction of the courts in Mohali, Punjab, India, and shall be settled through arbitration under the Arbitration and Conciliation Act, 1996.
